Univar Inc. Prices Initial Public Offering of Common Stock

Univar Inc., a global chemical distributor and provider of value-added services, announced today the pricing of its initial public offering of 35,000,000 shares of common stock at a price to the public of $22.00 per share. Univar Inc. will sell 20,000,000 shares and certain of our stockholders will sell 15,000,000 shares in the offering. The shares are expected to begin trading on the New York Stock Exchange under the symbol “UNVR” on June 18, 2015. The underwriters have a 30-day option to purchase up to an additional 5,250,000 shares of common stock from certain of our stockholders.
Univar Inc. intends to use the net proceeds of the offering, and a concurrent private placement, to redeem, repurchase, or otherwise acquire or retire $650 million of its outstanding Subordinated Notes due in 2017 and 2018 and pay associated fees and expenses, and for general corporate purposes. Univar Inc. will not receive any proceeds from the sale of shares by the selling stockholders.
